1. About Duelify

Duelify is a tournament organization tool developed and operated by Prime Solutions, Inc. ("Prime Solutions," "we," "us," or "our"). Duelify enables users to create tournament brackets, manage participants, log match results, and share draws via QR code. Duelify is intended for recreational, organizational, and community use.

2. Acceptance of Terms

By accessing or using Duelify, you confirm that you are at least 13 years of age, that you have read and understood these Terms, and that you agree to be bound by them. If you are using Duelify on behalf of an organization, club, or business, you represent that you have authority to bind that entity to these Terms.

3. Algorithmic Bracket Generation

Duelify generates tournament brackets and seedings using proprietary algorithms developed by Prime Solutions. You acknowledge and agree that:

• Bracket draws are generated algorithmically based on available seeding data, including manually entered rankings, community ratings, or third-party federation data where available.
• Algorithmic seedings and draws are provided for organizational convenience only and may not reflect official tournament standards, governing body requirements, or sanctioned event procedures.
• Duelify's bracket generation is not a substitute for official tournament management software approved by any sports governing body unless explicitly certified as such.
• Results, standings, and draws produced by Duelify do not carry official standing with any sports federation, governing body, or regulatory authority unless separately validated by that authority.

4. Limitation of Liability

To the maximum extent permitted by applicable law, Prime Solutions, Inc. and its officers, directors, employees, and agents shall not be liable for any disputes, disagreements, damages, losses, or claims arising from:

• Bracket assignments, seeding decisions, or draw outcomes generated by Duelify.
• Errors, omissions, or inaccuracies in player ratings sourced from third-party federation databases.
• Match scheduling, results logging, or standings calculations produced by the application.
• Disputes between participants, organizers, clubs, or third parties arising from the use of Duelify-generated draws or results.
• Any reliance placed on Duelify outputs in the context of sanctioned, competitive, or professionally adjudicated events.

In no event shall Prime Solutions' total liability to you for all claims arising from your use of Duelify exceed the amount you paid to Prime Solutions in the twelve months preceding the claim, or one hundred US dollars ($100), whichever is greater.

5. No Warranty

Duelify is provided "as is" and "as available" without warranty of any kind, express or implied. Prime Solutions makes no representations or warranties regarding the accuracy, reliability, completeness, or suitability of any bracket, seeding, rating, or result produced by the application. You use Duelify at your own risk.

6. User Responsibilities

You are solely responsible for:

• Ensuring that any tournament draw generated by Duelify complies with the rules of your organization, event, or governing body before use.
• Obtaining any necessary permissions or approvals from your organization or governing body before using Duelify in a sanctioned context.
• The accuracy of participant names, ratings, and seeding information you enter into the application.
• Notifying participants of any limitations or unofficial status of draws generated by Duelify.

7. Third-Party Data

Duelify may access player rating data from third-party federation databases including but not limited to USATT, USA Pickleball, and USTA. This data is provided for convenience and may not be current, complete, or accurate. Prime Solutions does not guarantee the accuracy of any third-party rating data and is not responsible for errors arising from its use.

8. Intellectual Property

Duelify, VKey™, and all associated branding, algorithms, and technology are the intellectual property of Prime Solutions, Inc. and are protected by applicable copyright, trademark, and patent laws. You may not copy, reverse engineer, modify, or create derivative works based on Duelify without express written permission from Prime Solutions.

9. Privacy

Your use of Duelify is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Duelify, you consent to the collection and use of your information as described in the Privacy Policy.

10. Modifications to Terms

Prime Solutions reserves the right to modify these Terms at any time. Updated Terms will be posted at duelify.ai/terms with a revised effective date. Continued use of Duelify following any modification constitutes your acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Fairfax County, Virginia.
